1. Introduction

Welcome to Intellan. These Terms of Use ("Terms") govern your access to and use of the website located at www.intellan.com and any related services, content, or features made available through it (collectively, the "Site").

The Site is operated by Intellan ("Intellan," "we," "us," or "our"), with offices at 2601 Little Elm Parkway, Suite 201, Little Elm, Texas 75068, United States.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Who May Use the Site

You may use the Site if you are at least eighteen (18) years old and able to enter into a legally binding agreement under the laws applicable to you.

If you are accessing the Site on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms. In that case, "you" refers both to you individually and to the organization you represent.

The Site is intended for users in jurisdictions where its use is lawful. By using the Site, you confirm that doing so does not violate any law applicable to you.

3. About Intellan and the Services

Intellan is a talent placement firm that works with enterprises and service companies to place experienced engineering professionals. We operate the Site as an informational and engagement platform. The Site enables visitors to learn about our services, submit applications and resumes for consideration, and contact us regarding talent placement engagements.

Use of the Site does not, by itself, create a placement agreement, an employment relationship, or a service contract between you and Intellan. Engagements for talent placement services are governed by separate written agreements executed between Intellan and the contracting party.

4. Candidate Submissions

If you submit a resume, profile information, application, or other materials through the Site ("Candidate Submissions"), the following applies.

a. Accuracy.

You confirm that all information you submit is accurate, complete, and current to the best of your knowledge, and that you have the right to submit it.

b. No guarantee of placement.

Submission of materials does not create an obligation for Intellan to evaluate, respond to, introduce, or place you. We evaluate candidates against the requirements of specific roles and the criteria of our CODE9 framework.

c. Use of submissions.

By submitting materials, you grant Intellan a non-exclusive, worldwide, royalty-free license to use, store, process, share, and evaluate the submitted materials for purposes of providing our services, including sharing relevant information with our client companies as part of the placement process.

Legal review flag: Section 4(c) needs careful review. The license language as drafted is broad. Depending on your operational model, you may want narrower language that ties use specifically to placement evaluation, with explicit limits on retention duration and sharing with third parties.

d. Withdrawal.

You may withdraw your submission at any time by contacting us at hr@intellan.com. Withdrawal of consent does not affect any lawful processing already carried out.

5. Client Use of the Site

If you represent an enterprise or service company exploring or engaging Intellan's services, your use of the Site is subject to these Terms and any separate written agreement governing the engagement. In the event of any conflict between these Terms and a signed agreement between Intellan and your organization, the signed agreement controls.

Nothing on the Site, including descriptions of services, frameworks (including CODE9), retention figures, or candidate profiles, constitutes a binding offer or warranty. Specific terms of engagement, including fees, deliverables, service levels, and warranties, are governed by separate signed agreements.

6. Permitted Use

You may use the Site only for lawful purposes and only as expressly permitted by these Terms. You agree not to:

Use the Site in any way that violates applicable law or regulation

Use the Site to transmit any material that is unlawful, defamatory, harassing, fraudulent, or that infringes the rights of others

Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems

Use any automated means (including bots, scrapers, or crawlers) to access, monitor, or copy the Site without our prior written consent

Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site for any commercial purpose

Interfere with the operation of the Site or the experience of other users

Submit false, misleading, or fraudulent information through any form on the Site

Use the Site to develop, train, or improve any competing product or service, including any machine learning model

7. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, design, framework names (including CODE9), and software, is owned by or licensed to Intellan and is protected by copyright, trademark, and other intellectual property laws.

Intellan, CODE9, Intelligently Precise, and Great Hires Happen by Design are trademarks of Intellan. You may not use these marks without our prior written permission.

Subject to your compliance with these Terms, Intellan grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. No other rights are granted to you.

You may not copy, modify, distribute, sell, publicly display, or create derivative works from any part of the Site without our prior written consent, except as expressly permitted by these Terms or by applicable law.

8. User-Provided Content

Beyond Candidate Submissions, you may provide other content to Intellan through the Site (for example, through contact forms, feedback fields, or business inquiry forms). By providing such content, you grant Intellan a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content in connection with operating and improving the Site and our services.

You confirm that you have the right to provide the content you submit and that it does not infringe the rights of any third party.

10. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Intellan disclaims all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Intellan does not warrant that:

The Site will be available at all times or free of errors, viruses, or harmful components

Any information provided through the Site is complete, accurate, or current at all times

Submission of materials will result in placement, introduction, employment, or any specific outcome

Legal review flag: Disclaimer language interacts with consumer protection laws in many jurisdictions. The current "as is" language may be limited or unenforceable in parts of the EU, UK, and Australia. A lawyer should review for global enforceability.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Intellan and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or any other commercial damages or losses, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Intellan's total cumulative liability arising out of or related to your use of the Site is limited to the greater of (a) one hundred U.S. dollars (USD 100), or (b) the amounts paid by you to Intellan in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

Legal review flag: Liability caps are heavily regulated under EU and UK law, and the enforceability of low caps (such as USD 100) varies. A lawyer should advise on whether the cap should be higher, structured differently, or removed for certain jurisdictions.

12. Indemnification

You agree to indemnify, defend, and hold harmless Intellan, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your violation of the rights of any third party.

13. Termination

Intellan may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles.

Any dispute arising out of or related to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Denton County, Texas, and you consent to the personal jurisdiction of those courts.

If you are accessing the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local law. Mandatory consumer protection rights under the law of your country of residence are not affected by this section.

Legal review flag: For a globally-accessed site, some jurisdictions (notably the EU, UK, and certain Latin American countries) override US choice-of-law clauses for consumers. A lawyer should advise on whether to add jurisdiction-specific carve-outs.

15. Changes to These Terms

Intellan may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Material changes will be communicated through the Site or by other reasonable means. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy referenced herein, constitute the entire agreement between you and Intellan regarding your use of the Site, and supersede any prior agreements on the subject.
